Terms of Service - EthosGov

These Terms of Service ("Terms") govern your access to and use of the EthosGov platform, including the website at www.ethosgov.io, the product application at app.ethosgov.io, and any related services (collectively, the "Service"), operated by EthosGov (a trading name of Atlas Platforms, Delaware C-Corp) ("we", "us", "our").

By accessing or using the Service, you agree to be bound by these Terms. If you are accessing the Service on behalf of an organisation (a school, Department, or other institution), you represent that you have authority to bind that organisation, and "you" refers to both you individually and that organisation.

1. The Service

EthosGov provides governance infrastructure software for public school systems. The platform is organised around four verbs: Lead, Improve, Assure and Oversee. Specific features and modules may vary by subscription tier, jurisdiction and organisation configuration.

2. Eligibility and Accounts

You must be authorised by your organisation to create an account on the Service. Accounts are provisioned through your organisation's administrator or via direct onboarding by EthosGov. You are responsible for maintaining the confidentiality of your account credentials.

3. Customer Data and Privacy

Data you upload to or generate in the Service ("Customer Data") remains owned by your organisation. EthosGov processes Customer Data as a data processor on your behalf. Full handling of Customer Data is governed by our Privacy Policy and any Data Processing Agreement executed with your organisation.

Educational and student-related data is handled in accordance with relevant Australian state and federal privacy legislation, including the Privacy Act 1988 (Cth) and Australian state-specific education privacy provisions.

4. Subscription and Fees

Access to the Service is provided under a subscription, platform licence, or Go2Gov contract executed with your organisation. Fees, renewal terms, and cancellation provisions are set out in your organisation's agreement.

5. Acceptable Use

You agree not to:

  • Use the Service in any way that violates applicable law.
  • Upload malicious code, attempt to breach security controls, or interfere with Service availability.
  • Reverse engineer, decompile, or attempt to extract source code.
  • Use the Service to harass, harm, or defame others.
  • Misrepresent your identity or authority.

6. Intellectual Property

EthosGov retains all rights, title and interest in the Service, including the underlying software, design, content authored by EthosGov, and trademarks. You retain all rights to your Customer Data.

7. Service Availability and Changes

We target high availability but do not guarantee uninterrupted access. We may modify, update, or discontinue features from time to time. Material changes to the Service affecting paid customers will be communicated in advance.

8. Confidentiality

Each party will protect the confidential information of the other with the same standard of care it uses to protect its own confidential information, and no less than a reasonable standard.

9. Warranties and Disclaimers

The Service is provided "as is". To the maximum extent permitted by law, we disclaim all warranties, express or implied, except as specifically set out in a written agreement with your organisation.

10. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, or special damages. Total liability is limited to the fees paid in the twelve months preceding the claim, except for breaches of confidentiality, indemnification obligations, or gross negligence.

11. Indemnification

Each party will indemnify the other against third-party claims arising from its breach of these Terms, subject to customary notice and control provisions.

12. Term and Termination

These Terms apply for as long as you use the Service. We may suspend or terminate your access for material breach, including failure to pay fees. Provisions that by nature should survive termination will survive.

13. Governing Law

These Terms are governed by the laws of the State of South Australia, Australia, unless a separately executed agreement with your organisation specifies otherwise.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice. Continued use of the Service after the changes take effect constitutes acceptance.
